Prepaid MasterCard ® This document constitutes the agreement ("Agreement") containing the terms and conditions under which a Payoneer Prepaid Card has been issued to you. By using this Card, you agree to be bound by the terms and conditions contained in this Agreement. In this Agreement, "Card" means the prepaid debit card issued to you by our card issuing bank "You" means the person whose name appears on the Card and is authorized to use the Card as provided for in this Agreement. "We," "us," and "our" mean Payoneer Inc, Prepaid Electronic Cards Ltd., our successors, affiliates or assignees. "Card Account" means the records we maintain to account for the value of funds available to you with the Card. The value available is recorded in your Card Account and will decrease each time you use the Card to make a purchase or withdrawal. The Card is nontransferable, and it may be canceled, repossessed, or revoked at any time without prior notice subject to applicable law. Please read this Agreement carefully and keep it for future reference. Loading the Card Funds can be loaded onto the Card using any of the funding mechanisms noted on our Load Funds page. These are: Credit Card, Paper Check and Debit my bank account (e-Check). Each of these options has fees associated with their processing charges. These fees are subject to change without notice by the service provider. We have put together a pricing schedule, to give an accurate assessment of the costs. The schedule will be updated as we are notified of any price changes by any our providers. Each time you use your Card, the amount of the transaction will be debited from the account associated with your Card. You are not allowed to exceed the funded balance available on your Card by any individual or series of purchases. Nevertheless, if you make a purchase that exceeds the balance on your Card (an "Overdraft"), you will remain fully responsible for the amount of your purchase or withdrawal which exceeded the balance available on your Card. We also reserve the right to automatically debit overdrafts from any subsequent credits to the Card or from your bank account or credit card. You agree to immediately forward payment to us for all overdrafts. You also agree to pay overdraft charges and fees in effect from time to time for each transaction that causes your available account balance to overdraw the funds available on your Card. When the value of the funds available to you with the card reaches $0. the card will become inactive and you will need to reactivate it by loading additional funds to the card. Our business days for support questions in connection with loading funds to the card are Monday through Friday 9.00am-5.00pm Eastern standard time, excluding holidays. Payoneer can be reached at the numbers listed on the Contact Us page. Using Your Card Except as otherwise provided in this Agreement, you may use your Card to purchase goods or services anywhere MasterCard is accepted electronically, as long as you do not exceed the value available on your Card Account. You may also use the Card to obtain cash from the aforementioned locations. We will not be liable for transactions which were not approved by a location. You are responsible for all authorized transactions initiated by use of your Card. You may not use your Card for any illegal or restricted transaction. Each time you use your Card, you authorize us to reduce the value available on the Card Account by the amount of the purchase or withdrawal and by any applicable fees or costs. You do not have the right to stop payment or dispute any purchase or payment transaction originated by use of your Card. For your protection, we may inactivate your Card and suspend funds loaded to the Card in the event that your Card is inactive for a period exceeding four (4) months. The Card will be reactivated s soon as you call us nd answer our security questions. Disclaimer of Liability Our total liability under this Agreement is to transfer the funds received from you to the applicable Bank, less any applicable fees and costs, and to provide you with customer support in connection with loading funds to the Card. Except as set forth above, we will have no further liability to you in connection with the Card and this Agreement. In the event that your Card is lost or stolen, you will have to contact the issuing Bank. You hereby agree to, and do hereby, disclaim any liability, duty, or responsibility, other than those expressly set forth in this Agreement. Other then expressly provided herein, we make no warranties, oral or written, express or implied, regarding this Agreement and the Card, including but not limited to, the implied warranty of merchantability or fitness for a particular purpose. We and any of our officers, directors, agents, representatives or employees will not be liable to you for special, incidental, indirect, exemplary or consequential damages, including but not limited to, damages or costs incurred as a result of loss of time, savings, property, profits or loss of goodwill that may arise in connection with this Agreement, regardless whether we have been advised of the possibility of such damages or whether claims are based or remedies are sought in contract, negligence, strict liability, tort, product liability or otherwise. Additionally, we will not be liable for any failure which occurred through no fault of our own, due to circumstances beyond our control, including but not limited to events in which any location or merchant refuses to accept the Card or to complete a transaction. You understand that our limitation of liability set forth hereby to be a reasonable allocation of risk and by using the Card you consent to such allocation of risk. This Card is also subject to the terms and conditions of the issuing bank. Amendment and Cancellation We may amend or change the terms of this Agreement at any time. You will be notified of any change in the manner provided by applicable law prior to the effective date of the change. However, if the change is made for security purposes, we can implement such change without prior notice. We may restrict, cancel or suspend your Card or this Agreement at any time. You may cancel this Agreement by returning the Card to us. Your termination of this Agreement will not affect any of our rights or your obligations arising under this Agreement prior to termination. Assignment You may not assign or transfer this Agreement to any other person without our prior written consent. We may assign our obligations to you under this Agreement without your consent or notice to you. Arbitration Any dispute arising out of this Agreement or usage of the Card shall be resolved by, and the parties hereby agree to, binding arbitration administered by the American Arbitration Association (“AAA”) under its commercial arbitration rules as practiced in the State of New York . The parties agree to this method of dispute resolution and waive any right to a court trial. Governing Law This Agreement is subject to and shall be interpreted under the laws of the State of Israel and the laws of the United States.
